I run a company currently registered in another EU country and I’m considering relocating the business to Malta for tax and operational reasons, but I don’t want to lose the company’s history, contracts, and legal identity by having to start a brand new entity. Is redomiciliation to Malta actually possible?

Yes, Malta permits the continuation, commonly called redomiciliation, of a foreign company into Malta under the Companies Act, Chapter 386 of the Laws of Malta, and the relevant continuation regulations, provided the company's original jurisdiction also permits outward redomiciliation and the company meets certain conditions, such as being solvent and having its constitutional documents adapted to comply with Maltese company law requirements. The process generally allows the company to retain its legal personality, meaning existing contracts, assets, and liabilities continue with the company rather than requiring a completely fresh entity, which is exactly what you are looking for. You will need to submit an application to the Malta Business Registry (MBR) along with supporting documentation, including a certificate of good standing and board resolutions from the current jurisdiction, and the company will remain registered abroad until Malta issues a provisional certificate of continuation, after which it must complete deregistration in the original country within a set timeframe. Given the cross-border complexity, this is generally handled with specialist corporate legal advice on both sides.

My business partner and I set up a company together in Malta where I hold 70 percent of the shares and he holds 30 percent, but under the articles of association certain decisions need unanimous shareholder approval. He is now refusing to approve anything, including basic operational matters, seemingly out of spite after a personal disagreement. Can I do anything about this?

I run a small company in Malta and I'm relocating my office from Gzira to a new address in Msida. I know I need to update this somewhere official but I'm not sure exactly what the process is or whether there's a deadline.
