I want to start a small business in Malta helping foreign entrepreneurs set up local companies, essentially preparing documents and liaising with the registry on their behalf. Someone mentioned I might need a licence for this. Is that actually the case, or is this just general business consultancy?

If your activities go beyond generic business consultancy and involve acting as what Maltese law defines as a company service provider, such as forming companies on behalf of clients, providing a registered office, acting as a nominee director or shareholder, or providing company secretarial services, you are likely to fall within the scope of the Company Service Providers Act, Chapter 529 of the Laws of Malta, which requires authorisation from the Malta Financial Services Authority (MFSA) before offering these services on a professional basis, subject to certain thresholds and exemptions for occasional or ancillary activity. Operating as an unauthorised company service provider when your activities meet the legal definition can expose you to regulatory penalties and potentially affect the validity of arrangements you helped establish for clients. Given how specifically the boundaries of 'company service provider' activity are defined in the regulations, it is worth getting a clear assessment of exactly which services you intend to offer before launching, since the licensing threshold can turn on details that are not always obvious from a general description of the business.

I've just been appointed company secretary of a small private company in Malta, mostly as a formality since I'm also a shareholder. I don't have a clear picture of what this role actually legally requires of me day to day, beyond just being a named position on paper.

My Maltese company entered into a supply contract with a business based in another EU country, and the contract itself is silent on which country's courts would handle disputes. They are now threatening to sue us in their home country instead of Malta. Can they actually do that?

My business partner and I set up a company together in Malta where I hold 70 percent of the shares and he holds 30 percent, but under the articles of association certain decisions need unanimous shareholder approval. He is now refusing to approve anything, including basic operational matters, seemingly out of spite after a personal disagreement. Can I do anything about this?

I registered a company in Malta two years ago but it has been completely dormant, no income, no expenses, nothing. I assumed I didn't need to file anything since there was nothing to report. I recently got a letter mentioning penalties. Was I supposed to file something anyway?
